PERFORMANCE PARTNER REFERRAL AGREEMENT

We believe in supporting the performance community. Our partnership program allows gym owners and coaches to offer a premium, performance-focused nutrition solution while earning a passive revenue stream.

This program is a formal referral agreement designed to compensate our partners for introducing new clients to Emerald Plate Experience LLC.

• How it Works: You simply encourage your clients to mention your name or facility when they sign up with us.
• Crucial Tracking Rule: To receive credit for a referral, the client must explicitly name you or your company in the "How did you hear about us?" section of our website questionnaire or during their initial consultation. If your name is not mentioned, we cannot attribute the referral fee.
• New Clients Only: Compensation is only paid for first-time clients who are not already in our system.

A referral qualifies for payment (a "Referred Client") only when they meet the following criteria:

• The client meets the Direct Attribution rule (as detailed above).
• The client signs a service agreement with us for a minimum of four (4) weeks of personal chef services.
• The client successfully makes their first full payment for the service.

We provide a clear, one-time payment for every Qualified Referral.

• Referral Fee Rate: You will receive ten percent (10%) of the net service fees (excluding groceries, taxes, etc.) paid by the Referred Client for their initial service agreement.
• Maximum Cap: The maximum Referral Fee paid for a single client is capped at $100.00 USD.
• One-Time Payment: This fee is paid only on the client's initial purchase. We do not pay fees for subsequent renewals or extensions of service.

We ensure prompt and transparent payment for all earned fees.

• Payment Trigger: The fee is earned once the Referred Client's first full payment has been successfully processed and cleared.
• Payment Schedule: Payments are issued Monthly on the 15th of the month following the payment trigger.
• Tax Requirement: Before any payment can be issued, partners must provide a completed W-9 Form (or equivalent tax documentation). You are solely responsible for all tax obligations related to the fees received.

• Relationship Status: You are acting as an independent contractor—not an employee, partner, or agent of Emerald Plate Experience LLC.
• Agreement Duration: This agreement remains in effect until terminated by either party.
• Termination: Either party may terminate this partnership with 30 days written notice. All fees earned prior to the termination date will still be paid out.
